    We took part in Public Consultation on the IoD Code of Conduct for Directors and submitted our feedback and suggestions for improvements.

  • Corporate Governance Framework

    Corporate Governance Framework

    We provided critical feedback and suggestions for improvement for the Public Consultation on COSO Corporate Governance Framework, which was later withdrawn.

  • The Risk Coalition

    The Risk Coalition

    We contributed to the Public Consultation on Principles-based guidance to enhance risk governance, oversight and reporting.

  • World Bank Knowledge Report

    We contributed to the World Bank's 2nd Symposium on Supranational responses to corruption and the Knowledge Report on Integrity in Climate Finance, summarising the Symposium's learnings.

  • UK Stewardship Code 2026

    We took part in the Public Consultation on the UK Stewardship Code 2026 and observed opportunities to further strengthen the Code’s clarity, scope, and ambition.

  • Bill S7494A/A8016A GRIFT Act

    We wrote a letter of support for the Government Response to Insider Fraud and Trading Act, which aims to establish a modern whistleblower framework for securities and financial services misconduct.

Research

Board Ethical Readiness Index (BERI) 2026

  • The Board Ethical Readiness Index (BERI) is the first global benchmark assessing boards’ capacity to identify, discuss, and act on ethical risks, not only legal or compliance issues.
    BERI measures readiness across five dimensions:

    Oversight – whether ethical risks reach the board clearly and in full.

    Deliberation – how trade-offs and dilemmas are surfaced and debated.

    Culture & Voice – how psychological safety and escalation work in practice.

    Expertise & Infrastructure – whether boards have the right people, data, and structures.

    Foresight & Assurance – how boards learn from signals before crises unfold.

  • While most boards acknowledge the importance of ethics, few can measure their own preparedness.
    BERI fills that gap offering insight into:

    • How ethical risks are prioritized versus other issues on board agendas

    • Where responsibility for ethics sits

    • What information boards use to make value-driven decisions

    • How confident directors feel when facing real-world dilemmas

    The findings will support boards, investors, and governance professionals in building practical readiness, not performative compliance.

  • Senior Executive and Board Director

    Nancy DiGioacchino is a mission-driven governance, risk, and compliance executive whose career exemplifies the integration of ethics, accountability, and innovation in leadership. With more than 25 years of experience across healthcare, technology, and insurance, she brings a values-based approach to board service—anchored in transparency, trust, and ethical foresight.

    As Vice President of Quality Management and Global Compliance at Florence Healthcare, Nancy leads initiatives that ensure regulatory excellence while enabling technological innovation in clinical research. Her leadership bridges compliance rigor with strategic opportunity, helping organizations translate complex regulatory frameworks into competitive advantage and ethical growth.

    Nancy has served as Board Secretary and Chair of the Enterprise Risk Management Committee for Southern Guaranty Insurance Company, guiding it to an A.M. Best Financial Strength Rating of B++. She also serves on the board of OneLifeCares, a healthcare 501(c)(3), where she helped establish participant and governance frameworks grounded in fairness and transparency.

    A recognized thought leader, Nancy speaks internationally on data ethics, privacy, and responsible AI—including at Research Revolution, ConQuest25, and SAI360 GRC Connect. Her work reflects a steadfast belief that effective boards of the future must be built on ethical intelligence, risk awareness, and a commitment to public trust.

    Nancy holds an MBA in Healthcare Management and advanced certifications including CIPM, CAMS, CPCO, and CPHQ.
